Bylaws of Deer Lake Property Owners Association

As Amended June, 1996

Article I
(Name)

The name of this association shall be "Deer Lake Property Owners Association", hereinafter known as DLPOA.

 

Article II
(Purpose)

Section 1 To organize the property owners within and adjacent to the shores of Deer Lake, Stevens County, Washington.
Section 2 To protect the lake from environmental depredation.
Section 3 To provide a forum by which property owners may assist governmental agencies in better planning the use and resources of the Deer Lake area.

Article III
(Membership and Dues)

Section 1 Membership shall be defined as anyone who has paid their dues to DLPOA
Section 2 Property owners have all privileges associated with membership. Non-property owners have all privileges associated with membership with the exception of holding office.
Section 3 The fiscal year shall be from June 1 through May 31.
Section 4 Annual dues are $12.00 and are payable on or before June 1 of each year. Dues paid after February 1st will be applied to the next fiscal year.
Section 5 Special assessments may be levied by a vote of the membership at an annual or special meeting, provided a 30 day notice has been given.

Article IV
(Elections)

Section 1 The officers of DLPOA shall be: President, Vice-President, Secretary and Treasurer. The Board of Directors shall not exceed 12 members, excluding officers.
Section 2 Board of Directors shall be elected for a three-year term with one third of the directors being elected each year.
Section 3 Elections will be held at the annual membership meeting in June. The Vice-President shall submit names of nominees who have consented to serve in office. Nominations will also be accepted from the floor.
Section 4 Election will be by a majority vote of members present at the annual meeting. If there are two or more candidates for a position, a secret ballot will be used. If only one person is nominated for a position, a voice vote will be conducted.
Section 5 Officer and Director terms shall run from 1 October through 30 September to allow coordination between incoming and outgoing members.

Article V
(Meetings and Quorum)

Section 1 Board of Directors meetings will be held the second Wednesday of each month with the exception of June, July, August and December.
Section 2 A quorum of Board of Directors meetings shall consist of a majority of elected Officers and Directors. Unexcused absences from three meetings shall constitute a vacancy.
Section 3 Special membership meetings may be called by the President or any 10 members.
Section 4 The annual membership meeting will be held in June of each year. This meeting will include elections, a financial report for the past fiscal year, permanent committee reports of activities for the past fiscal year, and open floor discussions.
Section 5 Special or annual membership meetings must have a quorum of at least 10% of the paid membership.

Article VI
(Officer and Director Responsibilities)

Section 1 The President shall:
  1. Preside at all regular, special and annual meetings of DLPOA and shall be the Chairperson of the Board of Directors.
  2. Prepare the agenda for all scheduled meetings.
  3. Be one of three officers authorized to sign vouchers for the disbursement of monies by the Treasurer.
  4. Appoint all committee chairpersons.
  5. Have supervision over any printed publication pertaining to DLPOA
Section 2 The Vice - President
  1. Preside in the absence of the President at any scheduled meeting.
  2. Be one of three officers authorized to sign vouchers for the disbursement of monies by the Treasurer.
  3. Become the President in the event of vacancy in the office of President unless otherwise determined by the general membership.
  4. Be chairperson of the Legislative Liaison Committee.
  5. Be responsible for conducting elections at the annual membership meeting in June.
    Section 3 The Secretary shall:
    1. Keep an accurate record of all scheduled meetings.
    2. Call all officers and board members as to the date, time and place of all scheduled meetings.
    3. Keep on file all records of DLPOA including committee reports and the annual fiscal report.
    4. Publish the Association’s newsletter for mailing in the months of November, February and May.
      Section 4 The Treasurer shall:
      1. Be the custodian of all funds of DLPOA and shall deposit these funds in a bank designated by the Board of Directors.
      2. Be bonded at the expense of DLPOA for an amount determined by the board of Directors.
      3. Maintain an itemized account of all receipts and disbursements.
      4. Be one of three officers authorized to sign vouchers for the disbursement of monies by the Treasurer.
      5. Maintain records identifying membership in DLPOA.
      6. Be responsible for newsletter (November, February,, May) and dues (March) mailings.
      7. Prepare a financial report for each regular Board of Director’s meeting and the annual membership meeting.
      8. Have the books reviewed (not audited) annually by an accountant not affiliated with the Association.
        Section 5 The Board of Directors shall:
        1. Act as chairperson or co-chairperson on one of the permanent committees with the exception of the Legislative Committee.
        2. Act as chairperson on temporary committees when appointed by the President.
        3. Conduct business governing the activities of DLPOA and report on those activities at the annual membership meeting.
        4. Ratify bills for payment, grant obligational authority and prepare an annual budget.
        5. Approve all official forms or logos used by DLPOA.

          Article VII
          (Committees)

          Section 1 The following permanent committees will be maintained:
          • Emergency Services
          • Lake Safety
          • Fisheries
          • Water Quality
          • Membership
          • Legislative Liaison
          • Lake Beautification.
          Section 2 committee chairpersons will maintain a continuity folder containing information on points of contact, policies and procedures and past activities. This folder will be passed on to new chairpersons at the September Board of directors meeting.
          Section 3 Committee chairpersons will prepare an article for each newsletter and a report of activity for the annual membership meeting.
          Section 4 Committee chairpersons may enlist other DLPOA members to assist them in their duties.
          Section 5 Temporary committees may be formed by the President to accomplish special projects. These committees shall only exist for one year without majority vote of the Board of Directors.

          Article VIII
          (Amendments to Bylaws)

          These bylaws may be amended at the annual membership meeting by a two-thirds vote of the members present, provided there is a quorum present, and provided the amendment or amendments have been submitted to the Board of Directors for perusal and further provided that the amendment or amendments have been given to the members at least 10 days prior to the annual meeting.
